Big Apple Miata Club by laws

 

Article 1 – Name

The name of this organization shall be Big Apple Miata Club

 

Article 2 - Purpose

As a non-profit social group, the purpose of this organization shall be to provide social, recreational, instructional and technical activities to preserve the Mazda MX-5 Miata, to promote a responsible image for all Miata drivers, and to promote goodwill for the mutual benefit of the members. Membership is open to all Miata enthusiasts.

 

Article 3 - Meetings

Section A. General membership meetings shall be held monthly, on the second Tuesday of each month,

Section B. The Executive Board shall meet at least Quarterly.
Section C. A quorum shall consist of the members present at any scheduled executive board or general Membership meeting.

 

Article 4 - Membership

Section A. Individual Membership. A membership consisting of one individual who shall have one vote in general membership decisions.
Section B. Multi-person Membership. A membership consisting of two persons who shall have only one vote in general membership decisions.

 

Article 5 – Membership Rights and Responsibilities

Section A. No member delinquent, in dues, for more then two months shall enjoy the benefits of the club.

Section B. An invitation to participate in club activities.
Section C. The right to attend executive board meetings as a non-voting observer.
Section D. Inclusion in all mailings of general membership publications.
Section E. Members and their guests shall act in accordance with the stated purpose of the organization. Failure to do so may result in expulsion of membership.
Section F. Expulsion of membership shall be decided by a majority of a quorum vote of the general membership, only after affording the member an opportunity of being heard in his/her own defense

 

Article 6 - Officers

Section A . Elected officers shall consist of a President, Vice-President, Secretary and Treasurer/membership and shall collectively represent the general membership in all official matters.

Section B. No member shall hold more than one elected office during any term.
Section C. Only one individual of a multi-person membership shall be a member of the board during any term.
Section D. The Executive Board shall consist of the elected officers plus the Newsletter Editor, Web Site Editor, Technical Advisor, Historian and Events Coordinator.

Section E. The executive board shall make recommendations to the general membership on organization matters

 

Article 7 - Duties of Officers

Section A. PRESIDENT: Preside at all general membership and executive board meetings; enforce the Bylaws; be responsible for carrying out the decisions of the general membership; appoint committees as deemed necessary for the proper operation of the organization.
Section B. VICE-PRESIDENT: Assist President in coordinating elected and appointed officers' duties, preside at all general membership and executive board meetings in the absence of the President.
Section C. SECRETARY: Record the minutes of all general membership and executive board meetings, maintaining a file of all minutes and records during his/her term; maintain a current membership list; conduct all official correspondence of the organizations. Responsible for safekeeping of photos and other memorabilia of the organization activities.

Section D. TREASURER/MEMBERSHIP: Sign all checks and contracts; collect dues, moneys and other remuneration from all sources; be responsible for all receipts and disbursements; provide a financial report at each meeting provide annual financial report at the last meeting of his/her term. Maintain a current list of members and correspond with new and prospective members.

 

Article 8 – Nominations, Elections and Terms of Office

Section A. Only members paid up in good standing shall be eligible for election or appointment as officers.
Section B. Nominations of officers shall be solicited from the general membership at the Oct. meeting.
Section C. Election and installation of officers shall occur at the Dec. meeting. Election shall be determined by a majority of a quorum vote of the general membership.
Section D. Elected and appointed officers shall hold office for one year from Jan. 01 to Dec. 31

Section E. The executive board by a majority of a quorum vote shall appoint another member in good standing to assume the duties of a vacated office until the next general membership election.

Section F. Member must be a current Miata owner to hold elected office.

 

Article 9 – Dues and Expenditures

Section A. Annual dues for an individual and a multi-person membership shall be established and changed, as necessary, by a majority of a quorum vote of the general membership, payable in full to the Treasurer.
Section B. The fiscal year of the organization for annual dues shall be from date of joining for one year and shall be: $25.00 for individual or multi-person (voting member plus one) membership. Joining members will pay $30.00 for the first year, to include a license plate holder or decal.

Section C. Expenditure of funds shall be restricted to the administration of organization business and activities for the mutual benefit of the general membership.

Section D. Dues must be paid no later then 2 months after due date to maintain membership or attend club functions.

 

Article 10 - Activities

Section A. Activities - social, recreational, instructional technical - shall be recommended by any member and approved by a majority of a quorum vote of the general membership.
Section B. Activities shall be limited to the general membership and their accompanying guests and invited guests.

Section C.A tentative schedule of events shall be presented to the membership by March meeting. This will be compiled by the executive board with input from general membership.

 

Article 11 - Authority

Meetings shall be governed by the rules contained in Robert's Rules of Order in all cases in which they are not inconsistent with these Bylaws. The President shall appoint an ad hoc Parliamentarian.

 

Article 12 – Voting

Voting to amend these bylaws must be by a 2/3 majority of at least ¾ of the executive board. For normal voting both of executive board and general membership will be a simple majority of members.
